ARTICLE 1

THE LOAN

*SECTION 1. BCPB agrees to lend to the BORROWER, on the terms and
conditions set forth or referred to herein as aggregate amount.*.

SECTION 2. The amount of the loan may be withdrawn from the loan account in
accordance with the provisions of Schedule 2 of this Contract for
expenditures made (or, if BCPB shall so agree, to be made) in respect of
the reasonable cost of goods and/or services required for the project
described in Schedule 1 of this Contract and to be financed out of the
proceeds of the loan. This states that if the BORROWER then use the loan
to pay for EASEMENT without Prior Brown capital written approval; If such
occurs this loan will be withdrawn from the account receiving the loan.

SECTION 3. Interest — The BORROWER shall pay BCPB interest which shall
accrue at the rate of 3.5% per annum on the outstanding balance of the
principal and any due and unpaid interest subject to the provisions of
Section 2,

ARTICLE II

SECTION 4. Repayment - The BORROWER shall repay to BCPB the principal and
interest within YEARS () equal quarterly instalments during the repayment
period; provided however, that BCPB may require

accelerated repayment in the financial condition of the BORROWER so
warrant. The BORROWER is entitled to a 3 MONTHS of grace period. Further
explanation- Making additional unscheduled payments reduces the principal
balance of the loan, so more principal and less interest is paid off in
subsequent payments. Making accelerated payments will lead to the early
pay-off of a loan

Payments of principal and interest shall be deferred for not more than
YEARS. Interest accruing during the deferment period shall be capitalized
and treated as principal.

Should there be a default in the payment of any loan amortization; the
amount in arrears shall bear penalty interest at the rate of 3.5% per annum.

SECTION 5. Application of payment - All payments shall be applied in the
following order:

*5.1. Surcharges– After thorough scrutiny and approval 2ND PARTY
INSURANCE POLICY IS REQUIRED (Category C) before loan payment can be
confirmed into supplied account.*

5.3. Principal

All payments shall be made to order of BROWN CAPITAL FINANCE.

a. The Promissory Note, Deed of Mortgage and other Supplemental Mortgages,
as may be required by BCPB.

b. Evidence of appropriate corporate action authorizing the execution and
delivery of the Contract of loan, Promissory Note,

Deed of Mortgage and other supplemental Mortgages, including the authorized
signatory/ies and their specimen signature/s.

c. Statement of the name of the person holding or acting in the office of
the BORROWER.

d. Evidence that the borrower is clear of any encumbering lawsuits and
other legal restraint.

e. BORROWER must keep the contract safe for complete understanding.

*f. BORROWER must complete the 2nd Party insurance policy and fax this
signed contract to acceptoffice@ fax number 086 538 7505*

g. BCPB shall pay 10% to the BORROWER receiving account; if after 4
hours the loan is not made to the supplied account as agreed. To perform
AN IRREVOCABLE BANK TRANSFER of APPROVED LOAN - only to the BORROWER’S
ACCOUNT supplied to this COMPANY and copy to the Financial Auditor, Loan
officer and Borrower.

ARTICLE III

EXECUTION OF THE PROJECT

SECTION 1. The Borrower declares its commitment to the objectives of the
project as set forth in Schedule 1 of this Contract, and, to this end,
shall carry out the Project with due diligence and efficiency and in
conformity with appropriate engineering, financial and public utility
practices and shall provide, Promptly as needed, the counterpart funds,
facilities, services and other resources for the project.

SECTION 2. The BORROWER shall cause the SYSTEM to be constructed by
contract and / or by Force Account, subject to approval of BCPB.

SECTION 3. All plans and specifications for construction of the project and
any amendment thereto shall be subject to prior written approval of BCPB.

SECTION 4. All line extensions, rehabilitations and additional work shall
not commence until approved by BCPB in writing.

SECTION 5. Bidding and construction administration shall be in accordance
with BCPB Construction Administration Procedures and other pertinent laws,
rules and regulations.

SECTION 6. The BCPB or its duly authorized representative and for
representative/s of international lending institutions, reserve the right
to inspect, examine and test at the work of materials relating thereto, and
the BORROWER shall provide reasonable facilities for the use of the BCPB or
its duty authorized representative and/or representative/s of international
lending institutions.

SECTION 7. BCPB shall administer all loan funds of the BORROWER.
