d.Government assay report from geological survey Department of Ghana.

Declaration averring that the product is free and clear of
non-criminal origin, unencumbered and free of any liens, transferable
and exportable.

PERIOD OF PAYMENT : Within 72 hours of receipt of assay report from
refinery, and upon positive result.

TERMS OF PAYMENT: By wire-transfer after inspection and assay report
by the Refinery in buyer's destination.Procedure:

01) Buyer accepts the FCO and come to meet with the seller in GHANA
and sign the SPA.

02) Buyer will make inspection/test of the gold bars on arrival at the
seller=E2=80=99s location.

03) Buyer will make shipment of the gold bar at 10% of the invoice
value of the total merchandise to his destination/ Refinery. Seller
will provide the buyer with collateral inform of Gold bars that is
worth the amount paid by the buyer for the taxes and other logistic
shipping requirements at the port of loading. This collateral will be
stored in a storage facility agreed to by both the buyer and Seller
pending the conclusion of the transaction.

04) Seller will nominate a representative that will accompany the
Buyer and the Gold bar to the Buyer destination to witness the
Refinery process.

05) Buyer on receipt of the Assay report of the refinery will pay the
Seller by Swift transfer the total value of the gold.
