THIS AGREEMENT IS MADE THIS DAY FRIDAY 23RD APRIL 2021 BETWEEN DAVID RODNEY OF PORT-AU-PRINCE HAITI. HEREINAFTER CALLED THE PORT-AU-PRINCE HAITI PARTNER) OF THE FIRST PARTY AND MICHAEL BUTLER OF AMERICA. (HEREINAFTER CALLED THE AMERICAN PARTNER) OF THE SECOND PARTY. IT IS HEREBY AGREED AS FOLLOWS:
 
 
 
1. THAT THE PORT-AU-PRINCE HAITI PARTNER IS THE INITIATOR OF THE MONEY/FUND OF US$400,000.000 .00 (FOUR HUNDRED MILLION UNITED STATES DOLLARS) WHICH OUGHT TO BE CLAIMED, RELEASED AND RECEIVED BY THE AMERICAN PARTNER.
 
 
 
2. THAT THE AMERICAN PARTNER IS ASSISTING THE PORT-AU-PRINCE HAITI PARTNER TO RECEIVE THE US$400,000.000 .00 FOR SAFEKEEPING AND INVESTMENT PLAN.
 
 
 
3. THAT THE FUND OF US$400,000.000 .00 WILL BE SHARED WITH THE AMERICAN PARTNER AS FOLLOWS: (A) 20% FOR THE AMERICAN PARTNER. (B) 80% FOR THE PORT-AU-PRINCE HAITI PARTNER.
 
 
 
4. THAT THE MONEY RECEIVED FOR THE PORT-AU-PRINCE HAITI PARTNER SHALL BE TAKEN CARE OF BY THE AMERICAN PARTNER UNTIL THE ARRIVAL OF THE PORT-AU-PRINCE HAITI PARTNER IN AMERICA FOR THE MUTUAL SHARING OF THE MONEY AS AGREED.
 
 
 
5. THAT IT IS HEREBY AGREED THAT THE SAID SUM SHALL BE PAID INTO THE ACCOUNT PROVIDED BY THE AMERICAN PARTNER FOR THE PORT-AU-PRINCE HAITI PARTNER.
 
 
 
6. THAT EVERY EXPENSES MADE IN THE COURSE OF THE ACTUALISATION OF THE MONEY SHALL BE SETTLED FIRST BEFORE SHARING ANY MONEY ON THE PERCENTAGES AGREED, PROVIDED SUCH EXPENSES ARE RECORDED, CONVINCING AND AGREED UPON BY THE PARTNER ON SUCH RECORDS, WHETHER IT IS SPENT BY THE PORT-AU-PRINCE HAITI PARTNER OR THE AMERICAN PARTNER DIRECTLY OR INDIRECTLY LIKE HIRING AND/OR MANAGING THE TRADING INVESTMENT EACH YEAR.
 
 
 
7. THAT PROVIDED EVERY PARTY DOES WHAT IS EXPECTED OF THEM, THIS US$400,000.000 .00 SHALL BE DEPOSITED IN THE ACCOUNT OF THE AMERICAN PARTNER EITHER IN AMERICA OR ANY OTHER COUNTRY.
 
 
 
8. THAT NO PARTY TO THIS AGREEMENT SHALL DEVIATE FROM THE TERMS OF THIS AGREEMENT OTHERWISE THE PARTY SO AGGRIEVED SHALL HAVE THE RIGHT TO SUE THE PARTY FOR BREACHING THIS AGREEMENT EITHER IN PORT-AU-PRINCE HAITI OR IN AMERICA, AND THE TENDERING OF THIS AGREEMENT IN THE COURT SHALL BE CONCLUSIVE AND ADMISSIBLE AS EVIDENCE OF SUCH BREACH.
 
 
 
10. THAT NO PARTY OF THIS AGREEMENT SHALL DO ANYTHING THAT SHALL FORESTALL THE SUCCESS OF THIS TRANSACTION.
 
 
 
11. THIS AGREEMENT IS BETWEEN: DAVID RODNEY REFERRED TO AS THE PORT-AU-PRINCE HAITI PARTNER AND MICHAEL BUTLER, REFERRED TO AS THE AMERICAN PARTNER, HENCE THIS AGREEMENT SHOULD NOT BE EXPOSED TO ANY GROUP EITHER IN PORT-AU-PRINCE HAITI OR IN AMERICA.
