Dear Andrew,

Thank you very much for responding to our email. We contacted you
because, we need a professional that can offer a full range of
professional services at a fair price, and small enough, to give us the
individual attention that we request. What we require basically at this
point, is simple record keeping with some Fiduciary duties. The whole
idea is to give our company an American face and culture, reduce

We are a construction machinery manufacturing company, with several
design patents and our products take the lead in realizing fast speed
and automation and are praised highly in the industry for such
characteristics as energy conservation, leading technology and elegant
appearance. Our sales service network covers all around the world. We
want to establish our Corporate presence in the USA, by having a
"branch", that is why we are contacting you, as we will require your
services as a professional to handle our administrative Support
Services and organizational logistics, in the USA, as we plan to
minimize investment/overhead expenses and tax, by outsourcing these
roles.

We have a lot of customers spread all over in the USA, and we do not
want to incorporate our company over there yet, as we think it will be
more beneficial (cost effective) for us to establish our presence
there, with you acting as our Fiduciary agent. We want you to handle
our "branch" functions, as we intend to reduce our in-house staff
needs. We also want to eliminate hiring and training of staff and
employee overhead expenses, upon set-up. We intend to outsource our
entire financial services portfolio to you, as we want our customers to
be reporting to you as our Independent Contractor. With respect to
turnover, we are looking at receivables from our customers in the
amount of US$50,000.00 to US$700,000.00 monthly.

In the interim, you will be specifically responsible for;

* Providing an address and business location.
* Making sure our financial records are timely and accurate (basically
income and expense account)
* Accounts receivables/Account Payable
* Our Shippers will be reporting to you
* Making and receiving telephone calls from our customers where
necessary

Based on the above, we will appreciate if you could send us your terms
of engagement, or we can send you a terms of engagement instead, which
will specify the scope of services we expect from you, together with a
proposed remuneration package. Upon agreement of terms of engagement,
we will ask our customers to contact you immediately. We want to see
how our customers will react to this arrangement, before we will
incorporate our company over there fully. We want to use this approach
to sort of test the waters and see how it will go.
