The Joint Venture we are considering would have as its main objective the investment of the sum of Twelve Million Five Hundred Thousand United States Dollars (USD $12,500,000.00). This Joint Venture referenced here applies specifically to the FINANCIAL INVESTOR providing the sum of USD $12,500,000.00 (Investment Sum) to the INVESTMENT MANAGER for the sole purpose of investing in profitable investment(s) and payment of Returns on Investment (ROI) to the FINANCIAL INVESTOR. It is the intent of the FINANCIAL INVESTOR to invest into any profitable business sector(s) advised by the INVESTMENT MANAGER.

1. The FINANCIAL INVESTOR would provide the Investment Sum above to the INVESTMENT MANAGER in line with all financial laws to fund the Business and ensure the Investment sum is received in the INVESTMENT MANAGER's account clean and legal in about or less than two months.

2. The INVEST MANAGER will manage the Joint Venture in addition to ensuring prompt payment of Returns on Investment (ROI). The INVESTMENT MANAGER will use all reasonable endeavors practicable to ensure the Business is carried out according to sound business principles and good order; and the payment of ROI is effected promptly.

3. The Joint Venture shall be for an initial term of Ten (10) years after which it can be renewed or terminated.

4. The INVESTMENT MANAGER in carrying out his specific duties will keep the FINANCIAL INVESTOR fully informed of the progress and all that affects the Business

5. The INVESTMENT MANAGER shall be entitled to 40% of the annual net profits from the Business while 60% shall belong to the FINANCIAL INVESTOR. At the termination of the business same percentage of the net worth of the business shall belong to the INVESTMENT MANAGER and FINANCIAL INVESTOR.

6. The minimum annual Returns on Investment shall be 2% of the Investment Sum.

7. The INVESTMENT MANAGER will be required to cooperate with the FINANCIAL INVESTOR's lawyers processing this joint venture to enable transfer of the Investment Sum to the INVESTMENT MANAGER’s account.

8. The INVESTMENT MANAGER shall be required to make available to the FINANCIAL INVESTOR'S lawyers a refundable Commitment Bond Deposit (CBD) of Twelve Thousand Five Hundred United States Dollars (USD $12,500.00). The FINANCIAL INVESTOR's lawyers shall guarantee and ensure return of the CBD to the INVESTMENT MANAGER one month from date of receipt.

9. The INVESTMENT MANAGER will employ professional assistance where necessary,supervise and pay wages from the investment sum to employed personnel .

10. The FINANCIAL INVESTOR and the INVESTMENT MANAGER will co-operate with each other and act in fairness and in good faith to enable the other discharge his duties and the Joint Venture objectives to be attained and accordingly will respond promptly to requests properly made by the other for approvals, information or assistance. Both the FINANCIAL INVESTOR and the INVESTMENT MANAGER will at all times make full disclosure to the other of relevant information, date reports and opinions with respect to the Joint Venture.

11. The INVESTMENT MANAGER will be required to pay the agreed Returns on Investment sum to the FINANCIAL INVESTOR yearly. The first ROI will be paid January 2020 to give time for the INVESTMENTMANAGER to stabilize the Business.

12. The INVESTMENT MANAGER will be entitled to a monthly wage of Six Thousand United States Dollars ($6,000.00) until the date (January 2020) the first net profit is shared.

13. Unless otherwise agreed or required under signed agreement, the FINANCIAL INVESTOR and the INVESTMENT MANAGER will so far as maybe practicable keep confidential from third parties the affairs of the Joint Venture.

A Definition:

In this announcement, the following expressions have the meanings set out below, unless the context otherwise requires:

“Business” means the entire business structure that the Investment Manager invests the Investment Sum.

“Investment Sum” refers to the extent of funding provided by the Financial Investor and confirmed received by the Investment Manager;

“Joint Venture” means the joint venture created by the agreement signed by both parties and any agreements supplemental to it; “Joint Venturer” means either the Financial Investor or the Investment Manager; and “Joint Venturers” means the Financial Investor and the Investment Manager together.

“Part of the Business” refers to the cost of running the business.

“ROI” means Returns on Investment and shall refer to the yearly sum accruable to the Financial Investor.
